This Policy applies to the Client.

1 Definitions

“Seraphim” means Seraphim Financial Services (Pty) Ltd, registration number 2017/511139/07, a private company with limited liability duly incorporated in accordance with the laws of the Republic of South Africa, and JSE Member (SER).
“Client” means “you”, “your”, “yourself”, and unless the context indicates otherwise, "your employer".
“Confidential Information” means all information disclosed by a Client that is reasonably regarded as confidential, being information not in the public domain, whether such information is oral or written, presented, recorded or stored by electronic or other form. In the instance of the services provided by Seraphim’s M2 Surface, Confidential Information includes the Client’s own submitted data; volatility surfaces and dividend forward points.
“M2 Surface” means the service Seraphim provides to Clients which uses Client’s data submissions to produce a market consensus volatility surface and dividend forward points;
“Parties” or “Party” means the Client and Seraphim or any one of them as the context may require.
“Website” means www.m2surface.co.za and all other associated URLs, owned and operated by Seraphim.

3 Confidentiality
Seraphim undertakes in favour of the Client to:

treat the Confidential Information as strictly confidential, not to divulge to any third party or sell, trade or publish, any of the Confidential Information, in any manner;
protect the Confidential Information using the same standard of care that it applies to safeguard its own proprietary, secret or confidential information;
store and handle the Confidential Information in such a way as to prevent any unauthorised disclosure thereof;
not utilise, exploit or in any other manner whatsoever use the Confidential Information for any purpose unrelated to the services provided by Seraphim.

For clarity, Seraphim may use the Client’s data submissions to produce statistical data including, but not limited to, a market consensus volatility surface, dividend forward points and the standard deviation of data submissions. Only statistical market data will be provided and disclosed to 3rd party Clients.

4 What Information Does Seraphim Collect?
The Client will be required to provide certain information. This information may include, but is not limited to, the Client’s name, email, employer, employer address, volatility surface and dividend forward points.

SERAPHIM DOES NOT AND WILL NOT WILLINGLY DISCLOSE CLIENT SPECIFIC INFORMATION TO ANYONE OTHER THAN THE RESPECTIVE CLIENT THEMSELF.

ALL INTERACTIONS ARE RECORDED IN A LOG FILE. THIS LOG FILE DETAILING CLIENT INTERACTIONS SINCE INCEPTION WILL BE KEPT CONFIDENTIAL AND WILL ONLY BE MADE AVAILABLE TO YOU AND YOUR EMPLOYER UPON REQUEST.

FOR THE AVOIDANCE OF DOUBT, THE IDENTITY OF CLIENTS IS CONSIDERED HIGHLY CONFIDENTIAL BY SERAPHIM AND WILL NOT BE DISCLOSED, UNLESS REQUIRED BY THE REGULATOR OR A COURT ORDER.

The Client will be submitting and requesting information from Seraphim, allowing Seraphim to collect information about and from the Client. Such information includes, but is not limited to, Seraphim collecting information about volatility surfaces and dividend points.

When the Client sends a communication or correspondence to Seraphim, Seraphim may collect information regarding that communication and include that information in its database.

5 How Does Seraphim Use Information?
Seraphim needs the information collected for statistical, consensus and reporting purposes, to maintain Client account(s) and to respond to court orders and legal investigations.

The Client expressly agrees that Seraphim may use information that has been provided or that has been collected for various purposes such as technical and/or statistical research, development, and customer administration.
Seraphim does not have any control over, nor does it monitor or endorse, the information gathering practices of any third-party.

6 Security
It is expected that the Client has appropriate firewalls and security measures in place. If a security breach does occur, Seraphim therefore does not accept any liability, but asks that the Client contact and notify Seraphim of the breach timeously.

7 Legal Jurisdiction
This Policy is governed by the laws of the Republic of South Africa.

YOU AGREE THAT YOU HAVE READ THIS POLICY IN ITS ENTIRETY, UNDERSTAND ITS TERMS, AND CONSENT TO ALL THE TERMS AND CONDITIONS SET FORTH IN THIS POLICY.
